Commerce and E-Commerce

Commercial dealings are governed by the Commercial Law, Decree-Law No. 68 of 1980. Agency and distribution arrangements fall under the Commercial Agencies Law, Law No. 13 of 2016, and its Executive Regulation; contracting by electronic means under the Electronic Transactions Law, Law No. 20 of 2014; and dealings with consumers under the Consumer Protection Law, Law No. 39 of 2014. The firm draws and negotiates commercial agreements for local and international clients across all four, without prejudice to the governance and compliance of commercial activities covered under the legislations.

Our work covers commercial agency and distribution agreements, franchise and licensing arrangements, supply and manufacturing contracts, consultancy and services agreements, procurement terms and conditions, warehousing and logistics agreements, lease, hire and maintenance agreements, non-disclosure agreements and memoranda of understanding, among other agreements and contracts that cover the client's business needs and vision. Each is prepared to satisfy the local requirements as to form, registration and enforceability, and drafted around the commercial risk the client actually carries rather than around a precedent.

We advise foreign businesses on opening branches of their companies in Kuwait and on all of their commercial dealings falling within Kuwaiti judicial and administrative jurisdiction, and we provide tailored commercial services in the form of due diligence and legal risk assessment and management ahead of their entry into the Kuwaiti market.
